As a BPM (Business Process Management) software developer, we are highly interested in our own business processes and are aware of the importance of transparency in our corporate governance system. Although Questetra is still relatively young, it was founded as a "Company with Committees" under the Company Law of Japan, which requires separation of a supervising function from the execution function. The law also requires the following organizational entities to be installed:
The Board of Directors makes decisions regarding fundamental issues and supervises the management of business operations. The Board also appoints or dismisses Board Committee members and Executive Officers.

Questetra's Board Committees consist of the three committees required by the Company Law of Japan: the Nominating Committee, the Audit Committee and the Compensation Committee. The law also requires that more than half of the members of each committee should be outside directors.

The Nominating Committee decides the content of proposals on appointment or dismissal of Directors by the Board of Directors for General Meetings of Stockholders.
The Audit Committee audits the performance of Directors and Executive Officers and decides the contents of proposals on appointment or dismissal of Accounting Auditors by the Board of Directors for General Meetings of Stockholders.
The Compensation Committee decides the corporate policy and/or contents on individual compensation for Directors and Executive Officers.
Executive Officers make decisions regarding the operation of the businesses of Questetra. Executive Officers are appointed by the Board of Directors and are delegated with the designated role of business operation.
